We never collect any personally identifying information without your explicit consent. This includes names, email addresses, physical addresses, or ways you personally identify yourself. Our Site and Our Services Are Not Directed to Children Under 13
We do not direct our Site at children under 13 years of age and we do not knowingly collect personal information from children under 13 years of age. We use Google Analytics and Snitcher to measure the business usage of our website. Google Analytics is used to assess the number of unique visitors to our Site, pages viewed, general geographic location of visitors, along with additional browser information. Snitcher shows us the company names and addresses based on the IP addresses of our visitors.

Governing Law; Jurisdiction
Our Site is hosted in the United States. If you are accessing our Site from outside the United States or any other region with laws or regulations governing personal data collection, use and disclosure that differ from the United States laws, please be advised that through your continued access to our Site, which are governed by U.S. law, you are transferring personal information to the United States and you consent to that transfer.
The laws of the State of Wisconsin and applicable United States law govern all matters arising out of or relating to the Privacy Policy and our Site, including, without limitation, interpretation, construction, performance, and enforcement, without giving effect to such state’s conflicts of law principles or rules of construction concerning the drafter hereof. You hereby irrevocably and unconditionally submit to the jurisdiction of the federal and state courts located in Brown County, Wisconsin for the purpose of any suit, action, or other proceeding arising out of or based upon the Privacy Policy and your access to our Site, which courts are the exclusive forum for any such suit, action, or other proceeding.
Changes to Our Privacy Policy
We reserve the right at our discretion to change the Privacy Policy at any time. We will post the most current version of the Privacy Policy to a privacy policy page on our Site.
Changes will take effect as described in the notice. If you access our Site after the change takes effect, you accept the Privacy Policy as modified.

TITLETOWNTECH STARTUP DRAFT - PITCH COMPETITION – OFFICIAL RULES
NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. YOU HAVE NOT YET WON. VOID WHERE PROHIBITED BY LAW.

1. Agreement to Official Rules:
By entering the TITLETOWNTECH STARTUP DRAFT (the “Contest”) You (“You”, “Your” or “Startup”) hereby fully and unconditionally agree to these official rules (the “Official Rules”) and Sponsor's decisions, which are final and binding in all matters related to the Contest. Winning the Contest is contingent upon fulfilling all requirements set forth herein. Any violation of these Official Rules will result in disqualification.
2. Sponsor:
The Contest is sponsored by TitletownTech, 1025 Lombardi Ave, Suite 210, Green Bay, Wisconsin 54304 (“Sponsor” or “TitletownTech”).

3. Eligibility:
The Contest is open only to validly organized legal entities which are authorized to do business under the laws of the United States or Canada (“Startup”) as of the start of the Contest. Startups must designate a team lead to coordinate the Submission. Employees and representatives of TitletownTech, its subsidiaries, and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible.

Startups should be primarily focused on one or more of the following areas of interest:

AWE (Agriculture, Water, Energy)

Construction Technology
-
Digital Health
-
Emerging Technology (Autonomous Systems, Robotics, AI, Quantum),

Advanced Manufacturing Technology
-
Supply Chain and Logistics
-
SME (Sports, Media and Entertainment).
Startups must also have not raised more than $10,000,000 (ten million US dollars) in capital, excluding non-dilutive capital.
4. Timing:
The Contest begins on February 20, 2025 on or about 8:00 a.m. Central Standard Time. Submissions must be submitted between February 20, 2025 and 11:59 p.m. on March 16, 2025 (“Submission Period”). The TitletownTech Startup Draft takes place in April and key milestone dates are below:

5. How to Enter:
To enter, during the Submission Period, complete the Competition Application located at https://www.titletowntech.com/titletowntechstartupdraft (the “Contest Website”). Upon successful completion of the Competition Application, you will receive one (1) entry into the Contest (“Submission”). Limit one (1) Submission per Startup.

You represent and warrant that you will not submit any content that contains (a) information that violates any obligation of confidentiality; (b) any viruses, spyware, malware, or other malicious components that are designed to harm the functionality of a computer in any way; (c) inappropriate content, for example but not limited to, profanity, defamatory statements, words or symbols widely considered offensive to individuals of any certain race, ethnicity, religious, sexual orientation or socioeconomic groups, threats to any person, place, business, or group or (d) content that infringes on the intellectual property rights of a third party including but not limited to, copyright, patent or trademark, or rights of privacy or publicity, or contain material that is or may be considered defamatory, slanderous or libelous, or portray or depict any person, product or entity in a false light. Each Startup warrants and represents that its Submission complies with all of those conditions. Any non-complying Submission will subject the Startup to disqualification in Sponsor’s sole discretion.

By entering the Contest, Startup gives Sponsor permission to use its Submission worldwide, without any fees, in any format—now or in the future. This includes the right to copy, modify, create new versions, and share the Submission, as well as to use the Startup’s name and trademarks in promotional and advertising materials related to the Contest.

6. Selection Of Startup Draft Combine Participants:
Up to ten (10) Submissions will be selected from all eligible Submissions received during the Submission Period to participate in the Startup Draft Combine on April 3, 2025 and April 4, 2025 in Green Bay, Wisconsin. Startups must attend in person and must be represented at the Startup Draft Combine by the Startup’s founder, co-founder or an executive officer. During the Startup Draft Combine, a qualified panel of judges will evaluate the Startup Draft Combine Participant’s presentation and will select a winner based on the following criteria:

Problem Definition: How well is the problem defined and how important is the problem being solved?

Project Viability: How likely is it that the startup can be built and grown as-presented with the potential to become a legitimate solution?

Concept Disruptiveness: How disruptive, exciting, unique, and scalable is the proposed solution?

Pitch Communication: How well was the pitch presented? Were concepts communicated effectively and clearly?
Sponsor reserves the right to select fewer than the listed number of winners if the quality or quantity of Submissions is insufficient.

7. Odds:
Odds of winning depend on the total number of eligible Submissions received during the Contest. As this is a contest of skill, winning is dependent upon the quality of Submissions received.

8. Investment:
One (1) winner. The Contest winner will receive a $1,000,000 investment from Sponsor (“Investment”). TitletownTech expects to make an Investment via a Simple Agreement for Future Equity (SAFE), Equity or Debt Instrument and a side letter, which will be shared with the winner.

9. Winner Notification and Requirements:
Potential winner will be notified by email or phone. If a potential winner is disqualified for any reason, the Investment may be awarded to a runner-up determined by the qualified judges, in Sponsor's sole discretion. Acceptance of agreed upon Investment terms shall constitute and signify winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, Submission and/or Investment information in connection with the Contest for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.

10. No License to Sponsor Intellectual Property:
Nothing herein shall grant a Startup the right to use the intellectual property rights of Sponsor, or any other third party associated with the Contest, including but not limited to the trademarks of such parties. Startups must obtain written permission from Sponsor and/or the respective third party prior to using such intellectual property.

11. Release:
By entering, You agree to release and hold harmless the Sponsor, its Contest partners and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and Investment suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Contest or receipt or use or misuse of any Investment.
12. General Conditions:
Sponsor reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winners from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Contest or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
The Sponsor reserves the right, at its sole discretion, to remove Startups and/or winner from further participation in the Contest or withhold any Investment at any stage or phase for any reason that it deems necessary and prudent. This includes, but is not limited to, the following:

Startup’s public presence conflicting with the values of TitletownTech. Due to the highly public nature of this competition, competitors are subject to a review of their public presence to include, but not limited to, social media posts, blog posts, forum posts, company, and personal websites.

Violation of copyright law in submissions.

A Startup found to be gaining or attempting to gain an unfair advantage, intentionally disadvantage other Startups, or otherwise act in a manner inconsistent with the spirit of fair play.
13. Limitations of Liability:
Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Startup, printing, typographical, omission or other errors or by any of the equipment or programming associated with or utilized in the Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Contest; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Contest, the uploading, the processing or judging of Submissions, the announcement of the Investment or in any Contest-related materials; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Startup’s participation in the Contest or receipt or use or misuse of any Investment (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third-party use of any Submission.
14. Disputes:
Except where prohibited, Startup agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any Investment awarded shall be resolved individually, without resort to any form of class action, and exclusively by the state or federal courts located in Brown County, Wisconsin. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Startup’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the State of Wisconsin, without giving effect to any choice of law or conflict of law rules (whether of the State of Wisconsin or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Wisconsin.
